End-User License Agreement
1. Scope
USCAPE Hub (the "Software") is internal business software operated by USCAPE Apparel, LLC ("USCAPE") for its employees, contractors, sales representatives, and authorized customers. Use of the Software is restricted to individuals to whom USCAPE has issued credentials. The Software is not offered to the general public.
2. License Grant
USCAPE grants each authorized user a non-exclusive, non-transferable, revocable license to access the Software solely for the purpose of conducting USCAPE business. The license terminates automatically when the user's relationship with USCAPE ends.
3. Acceptable Use
- Do not share credentials or session cookies.
- Do not attempt to access data outside of your assigned scope.
- Do not export, scrape, or republish data without written authorization.
- Do not interfere with the operation, security, or integrity of the Software.
4. Third-Party Services
The Software integrates with third-party services including QuickBooks Online (Intuit Inc.), Monday.com, Google Drive, and Dropbox. Use of those services through the Software is also subject to their respective terms. USCAPE is not responsible for third-party service availability or for changes to their terms.
5. Intellectual Property
All software, content, designs, customer lists, financial data, and analytics surfaced by the Software remain the exclusive property of USCAPE. Authorized users acquire no ownership rights by virtue of access.
6. Disclaimer
The Software is provided "as is" without warranty of any kind. USCAPE disclaims all implied warranties of merchantability and fitness for a particular purpose to the maximum extent permitted by law.
7. Limitation of Liability
USCAPE's aggregate liability arising from or related to the Software is limited to direct damages and shall not exceed one hundred US dollars ($100). USCAPE is not liable for indirect, incidental, consequential, or punitive damages.
8. Termination
USCAPE may suspend or terminate access to the Software at any time, with or without notice, for any reason. On termination, the user must cease all use of the Software and destroy any locally cached data.
9. Governing Law
This agreement is governed by the laws of the State of California, without regard to conflict-of-law principles.
